REACH-Musterverträge - Alleinvertreter / REACH Model Agreements - Only Representative

Die Verfasser haben im Auftrag der deutschen chemischen Industrie zusammen mit Unternehmens- und Verbandsexperten Musterverträge für zwei in der Praxis häufig vorkommende Fallkonstellationen erarbeitet.
Sie betreffen zum einen die vertragliche Bestellung eines Alleinvertreters nach Art. 8 REACHVO durch einen außereuropäischen Hersteller, wonach der Alleinvertreter mit Sitz in der EU die Registrierung für den außereuropäischen Hersteller durchführt. Zum anderen betreffen sie die in der chemischen Industrie weit verbreitete Lohnherstellung. Nach der REACH-VO ist der Lohnhersteller registrierungspflichtig. Dies erfordert ergänzende vertragliche Regeln zum Lohnherstellungsvertrag.

The authors had been mandated by the German chemical industry to develop in close cooperation with industry and association experts model agreements for two practical constellations. One model relates to the contractual appointment of an Only Representative in accordance with article 8 REACH by a non-Community
manufacturer according to which the Only Representative established in the Community fulfils the registration obligations on importers. The other model relates to toll manufacturing, which is broadly used in practice within the chemical industry. REACH classifies the toll manufacturer as the manufacturer subject to registration requirements. This makes a supplementary agreement to the toll manufacturer agreement concerning compliance with the requirements of REACH necessary.
